NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received a notification of an economic concentration project concerning the exclusive takeover by the company “Crouzet Topholding SAS” of the companies “Society of Studies and Realization of Rotating Machines SAS”, “Soterem SAS”, “Altech SAS”, “Chabris Meca – Pero Meca SAS” and “Warelec SAS” through the acquisition of 100% of the capital and voting rights.
“Crouzet Topholding SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Romans under number 833 010 838 and headquartered at 10 rue du Docteur Henri Abel, 26000 Valence, France, a holding company owning several companies active in the design, manufacturing, and supply of mechatronic components for applications in the aerospace, transportation, energy, construction, and mechanical industries.
“Society of Studies and Realization of Rotating Machines SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Nanterre under number 307 420 067 and headquartered at 249 rue de la Garenne, 92000 Nanterre, France, active in the design/manufacture of defense equipment, civil aerospace, and industry.
“Soterem SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Toulouse under number 383 808 201 and headquartered at ZI de Vic, 5 rue de La Technique, 31320 Castanet-Tolosan, France, active in the development and production of complex systems for the space, nuclear, and aerospace sectors.
“Altech SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Cahors under number 402 896 666 and headquartered at LD Lamillade, 46120 Lacapelle-Marival, France, active in computer numerical control (CNC) machining.
“Chabris Meca – Pero Meca SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Châteauroux under number 315 815 936 and headquartered at LD Les Vigneaux, 36210 Chabris, France, active in computer numerical control (CNC) machining.
“Warelec SAS” is a simplified joint-stock company under French law registered with the Trade and Companies Register of Evry under number 399 325 281 and headquartered at 8 rue du Bois Sauvage, 91000 Évry-Courcouronnes, France, active in electronic card wiring.
