NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the exclusive takeover of the company «Agenium Group SAS» and its two subsidiaries; the companies «Agenium IT & Systems» and «Agenium Space» by the company «GDI Simulation SAS» through the acquisition of all the share capital and voting rights related thereto.

«GDI Simulation SAS» is a French simplified joint-stock company, with its registered office at ZAC de Clef Saint Pierre, 1 boulevard Jean Moulin- 78990 Elancourt, registered with the Versailles Trade and Companies Register under number 393 232 509. The company specializes in the development of training simulation software and is wholly owned and controlled by the company «MBDA France».

«Agenium Group SAS» is a French simplified joint-stock company, with its registered office at parc d’affaires CICEA, 3 rue du courtil- 35170 Bruz, registered with the Rennes Trade and Companies Register under number 477 887 392. It is active in the training simulation sector through the activities of its two subsidiaries «Agenium IT & Systems» and «Agenium Space».
