Press release of the Competition Council concerning the proposed economic concentration involving the acquisition of exclusive control by « Poulina Group Holding SA » of « Land’Or Holding SA » and all of its subsidiaries

Pursuant to Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 issued for its application, as amended and supplemented, the Competition Council makes available to the public the « summary of the transaction » below, containing the information provided by the parties.

This information was prepared by the notifying parties, who are solely responsible for it. Any inaccurate or distorted information contained therein does not in any way prejudge the position of the Competition Council on the proposed transaction.

NON-CONFIDENTIAL SUMMARY OF THE TRANSACTION PROVIDED BY THE PARTIES

The Competition Council has received notification of a proposed economic concentration consisting of the acquisition of exclusive control by « Poulina Group Holding SA » of « Land’Or Holding SA » and all of its subsidiaries.

« Poulina Group Holding SA » is a public limited company governed by Tunisian law, listed on the Tunis Stock Exchange, whose ‎registered office is located at GP1 km12 Ezzahra, Ben Arous – Tunisie, registered with the National Register ‎of Enterprises under number 1058891R.‎ It is a diversified Tunisian group, carrying out its activities through several industrial and service divisions, ‎in particular food products, construction materials, packaging, capital goods, ‎real estate and commerce.

« Land’Or Holding SA » is a public limited company governed by ‎Tunisian law, with capital of 30.145.275 Tunisian dinars, whose registered office is located at Bir Jedid, 2054 ‎Khelidia, Ben Arous, registered with the National Register of Enterprises under the unique identifier ‎No. 1549987F.‎ It is the holding company of the « Land’Or » group, active in the manufacturing, processing and marketing of meat products and their offal, seafood and ‎other food products‎. In Morocco, the group holds two subsidiaries, « Land’Or Maroc » and « Land’Or Industries Maroc », active in the manufacturing, processing, packaging, marketing and distribution of processed cheeses.
