NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of a project of economic concentration concerning the acquisition of exclusive control by the company “CMGP Group SA” of the company “Sodipire SARL”, through the acquisition of 70% of its share capital and voting rights, by the company “CMGP SA”.

“CMGP SA” is a Moroccan joint stock company with its registered office at Parc Industriel Sapino, Lots 102-105, Nouaceur, Casablanca, registered with the Casablanca Trade Register under number 77567.Elle opère dans le secteur de l’agroéquipements et est une filiale à 100% de la société « CMGP Group SA ».

” CMGP Group SA” is a public limited company incorporated under Moroccan law, with its registered office located at Parc Industriel Sapino, Lots 102–105, Nouaceur, Casablanca, and registered with the Casablanca Trade Register under number 411083. It operates in the fields of irrigation, agricultural supplies, solar energy, and water infrastructure.

“Sodipire SARL” is a limited liability company incorporated under Moroccan law, with its registered office located at No. 79, Layali II Subdivision, Route de Bouskoura, Berrechid, and registered with the Berrechid Trade Register under number 8379. It specializes in the import and distribution of tractors and agricultural equipment in Morocco.
