NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the acquisition of exclusive control by the company “Westlake Corporation”, through its wholly-owned indirect subsidiary, “Westlake International I B.V.”, of the exclusive control of the companies:
- “ACI – Automotive Compounding Industry, Lda”, (ACI Portugal) ;
- “ICM – International Compounders Madeira, Lda”, (ICM Portugal) ;
- “Perplastic Compounding SRL”, (Perplastic Romania);
- “Perplastic Tunisia SARL”, (Perplastic Tunisia); and
- “ACI México Automotive Compounding Industry S de R.L. de C.V.”, (ACI Mexico),
through the acquisition of all issued shares/social parts in these companies, as well as certain selected assets from the company “ACI Suzhou Technology Co., LTD”.
“Westlake Corporation” is a company incorporated under the laws of the State of Delaware, USA, listed on the New York Stock Exchange and active as a manufacturer and global supplier of innovative materials and products improving daily life.
“Westlake International I B.V.” is a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands, active as a holding company.
“ACI – Automotive Compounding Industry, Lda” is a limited liability company (Limitada) incorporated under the laws of Portugal, active in the production of polymer compounds.
“ICM – International Compounders Madeira, Lda” is a limited liability company (Limitada) incorporated under the laws of Portugal, active in the production of polymer compounds.
“Perplastic Compounding SRL” is a limited liability company (Societate cu răspundere limitată) incorporated under the laws of Romania, active in the production of polymer compounds.
“Perplastic Tunisia SARL” is a limited liability company incorporated under the laws of Tunisia, active in the production of polymer compounds.
“ACI México Automotive Compounding Industry S de R.L. de C.V.” is a variable capital limited liability company (Sociedad de Responsabilidad Limitada de Capital Variable) incorporated under the laws of Mexico, active in the production of polymer compounds.
“ACI Suzhou Technology Co., LTD” is a limited liability company incorporated under the laws of China, active in the production of plastic materials and composite products.
