NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council received notification of an economic concentration operation concerning the creation of two vertically integrated joint ventures by the companies “Suez RV France S.A.”, “Eramet S.A.”, and “The Future Is Neutral S.A.S.”, with the aim of implementing an innovative recycling solution for end-of-life lithium-ion batteries from electric vehicles in Europe.
“Suez RV France S.A.”, a French public limited company, is indirectly controlled by “Suez Holding S.A.S.”, the parent company of the French group “Suez” active globally in water and waste management services. Operating in 40 countries, this group also provides digital and environmental solutions to communities and businesses.
“Eramet S.A.”, a French public limited company, is the parent company of the “Eramet” group, a French mining and metallurgical group specialized globally in the extraction and valorization of metals (manganese, nickel, mineral sands, and soon lithium).
“The Future Is Neutral S.A.S.”, a French simplified public limited company, is a 100% subsidiary of “Renault S.A.”, the parent company of the “Renault” group, a French automotive manufacturer active in 134 countries, with main activities including the design, manufacture, and marketing of utility vehicles and vehicles for individuals through its commercial network, as well as the manufacture and distribution of spare parts for automobiles.
The two vertically integrated joint entities will be established in the form of simplified French public limited companies. Each will operate at a different stage of the closed-loop recycling chain of Lithium-ion batteries. Their purpose will be to produce high-quality recycled metal salts for the production of new batteries in Europe.
