NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES
The Competition Council has received a notification of an economic concentration operation concerning the exclusive takeover of the company ‘Centre de Néphrologie et d’Hémodialyse Atlas’ (CNHA) by the company ‘Diaverum Holding France’ (Diaverum), through the acquisition of one hundred percent (100%) of its share capital and voting rights attached thereto.
Diaverum is a French simplified joint-stock company, with its registered office at 6, rue Béranger, 69006 Lyon, France, and registered with the Lyon Trade and Companies Register under number 498 723 873. Diaverum’s main activity is to invest in companies from various sectors (commercial, industrial, financial, or other), whether located in France or abroad.
CNHA is a Moroccan limited liability company, with a share capital of 22,200,000 dirhams, headquartered at 15, rue Alaouine, Boumharez, Guéliz, Marrakech, Morocco, registered with the Marrakech Trade Register under number 69813. CNHA’s purpose is to operate a nephrology and hemodialysis center named ‘Centre de Néphrologie et d’Hémodialyse Atlas’.
