NON-CONFIDENTIAL SUMMARY PROVIDED BY THE PARTIES

The Competition Council received notification of a project of economic concentration operation concerning the acquisition by the company “Pick Albatros Holding For Financial Investments”, through its subsidiary “Pick Hospitality SA”, of assets related to the hotel property “Sofitel Casablanca Tour Blanche” as well as the related real estate and commercial assets owned by the company “Risma SA”.

“Pick Albatros Holding For Financial Investments” is an Egyptian company, headquartered at Heliopolis, 10 Obour Buildings Salah Salem, Cairo in Egypt, and registered in the Cairo Commercial Register under number 401630. It is active in the development and management of hotel establishments in Egypt and Morocco.

“Albatros Hospitality SA” is a Moroccan joint-stock company, with its headquarters at Résidence Bougainvillier, apartment 33, 4th floor, office no. A5, right side, Lotissement Bouizgaren, route de Safi, Marrakech, and registered in the Marrakech Commercial Register under number 178371.

The assets concerned include the hotel asset “Sofitel Casablanca Tour Blanche”, including the related real estate and commercial assets, owned by the company “Risma SA”.

“Risma SA” is a Moroccan joint-stock company with a management board and supervisory board, headquartered at 240, Boulevard Zerktouni, 7th floor, Casablanca, and registered in the Casablanca Commercial Register under number 98309. It is a hotel operator active in the development, ownership, and operation of hotel establishments in Morocco under various international brands.
