NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council received notification of an economic concentration project concerning the exclusive takeover by the company “Harman Holding GmbH & Co. KG” of the company “ZF Capri HoldCo GmbH” through the acquisition of all its share capital and related voting rights.

“Harman Holding GmbH & Co. KG” is a limited partnership company whose general partner “Harman International Industries, Incorporated” is a limited liability company under German law, with its registered office in Karlsbad, Germany, registered with the commercial register of the local court (Amtsgericht) of Mannheim, Germany, under number HRA 361119. It specializes in the design and manufacture of consumer and professional audio products, automotive electronic components, and audio systems.

“ZF Capri HoldCo GmbH” is a limited liability company under German law with its registered office in Friedrichshafen, Germany, registered with the commercial register of Munich under number HRB 303789. It is an inactive holding company that, upon completion of the proposed operation, will hold the Advanced Driver Assistance Systems (ADAS) Business of the seller “ZF Friedrichshafen AG” for private vehicles, including automotive computer solutions, intelligent cameras, radar-based detection and telemetry systems, automotive connectivity solutions, and ADAS software functions. This activity focuses on the development, manufacture, and distribution of driving assistance and automated driving solutions for private vehicle applications. The activity also includes associated system integration and testing capabilities, validation, and qualification.
