Press Release from the Competition Council regarding the economic concentration project concerning the acquisition by the company “LSF 10 Edilians Bidco SAS” of the exclusive control of the company “Industrie Cotto Possagno SpA”

In accordance with Article 13 of Law No. 104-12 on freedom of prices and competition and Article 10 of Decree No. 2-14-652 adopted for its implementation, as amended and supplemented, the Competition Council makes available to the public the “operation summary” below, containing information provided by the parties.

NON-CONFIDENTIAL SUMMARY OF THE OPERATION PROVIDED BY THE PARTIES

The Competition Council has received notification of an economic concentration project concerning the acquisition by the company “LSF10 Edilians Bidco” of the exclusive control of the company “Industrie Cotto Possagno S.p.A.” through the acquisition of all the share capital and related voting rights.

“LSF10 Edilians Bidco” is a simplified joint-stock company under French law, with its registered office at 3-5 rue Saint-Georges – Tmf Pôle 75009 Paris, registered with the Paris Trade and Companies Register under number 841 769 359. It holds interests in the operational entities of the Edilians group, which manufactures and markets cutting-edge roofing solutions globally, both in France and internationally. “LSF10 Edilians Bidco” is indirectly controlled by “Lone Star Fund X”, one of the private equity funds established and advised by “Lone Star”. “Lone Star” is an investment company with offices in North America, Europe, the Middle East, and Asia-Pacific, advising funds that invest globally in private equity, credit, and real estate.

“Industrie Cotto Possagno S.p.A.” is a public limited company established under Italian law, with its registered office in Possagno (Treviso), Via Molinetto No. 80, registered with the Treviso – Belluno Companies Register under number 03321030268. It is an Italian manufacturer specializing in clay roofing solutions, including tiles, coppi, and special pieces.
